1. Acceptance of Terms
By accessing or using the REC Marketplace platform, you agree to be bound by these Terms of Service. If you do not agree to all terms, you may not use the platform.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use this platform.
2. Platform Description
REC Marketplace is a decentralized platform for issuing, trading, and managing Renewable Energy Certificates (RECs) as ERC-721 NFTs on the Ethereum blockchain.
The platform enables users to: (a) issue RECs representing verified renewable energy generation; (b) list RECs for sale on the marketplace; (c) purchase RECs using USDT or RECEN tokens; (d) transfer RECs to other wallet addresses; (e) retire (burn) RECs for RE100 compliance certification.
3. User Responsibilities
You are solely responsible for: (a) maintaining the security of your wallet and private keys; (b) all transactions executed through your connected wallet; (c) ensuring sufficient gas fees (ETH) and token balances for transactions; (d) verifying transaction details before confirming in your wallet.
You agree not to: (a) use the platform for money laundering, fraud, or other illegal activities; (b) issue RECs based on false or misleading energy generation claims; (c) manipulate market prices through wash trading or other deceptive practices; (d) interfere with the platform's smart contracts or infrastructure.
4. REC Issuance
When you issue a REC through the platform, you represent and warrant that: (a) the energy generation data provided is accurate and truthful; (b) you have the right to create a certificate for the claimed energy generation; (c) the same energy generation has not been double-counted or certified elsewhere.
REC data — including energy type, amount, CO2 savings, and issuer address — is permanently recorded on the blockchain upon issuance and cannot be modified or deleted.
5. Trading & Fees
Marketplace pricing is set at 1 REC = 45 USDT or 1 REC = 23 RECEN. Prices may be adjusted by platform governance.
Trading fees are: (a) 3% for USDT transactions; (b) 1.5% for RECEN transactions. Fees are collected automatically by the smart contract and transferred to the platform treasury.
All blockchain transactions require gas fees (paid in ETH), which are separate from platform fees and are determined by network conditions.
All completed transactions are final and irreversible. The platform cannot reverse, cancel, or modify any on-chain transaction.
6. Intellectual Property
The REC Marketplace platform, including its design, code, smart contracts, and branding, is the intellectual property of REC Marketplace.
REC NFTs and their on-chain metadata are owned by the respective token holders. Ownership of a REC NFT grants the holder the right to the associated renewable energy certificate claim.
7. Disclaimers
The platform is provided "as is" and "as available" without warranties of any kind, either express or implied.
We do not guarantee: (a) uninterrupted or error-free platform operation; (b) the accuracy of energy generation claims made by REC issuers; (c) the value or liquidity of REC tokens; (d) compatibility with all wallets or blockchain networks.
Smart contracts are audited but may contain undiscovered vulnerabilities. Users interact with smart contracts at their own risk.
8. Limitation of Liability
To the maximum extent permitted by law, REC Marketplace shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
This includes but is not limited to: loss of funds due to wallet compromise, smart contract bugs, blockchain network failures, incorrect transactions, or market value fluctuations of RECs or tokens.
9. Termination
We reserve the right to restrict or suspend access to the platform for any user who violates these Terms of Service.
You may discontinue use of the platform at any time by disconnecting your wallet. Note that on-chain data and token ownership persist independently of platform access.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or use of the platform shall be resolved through binding arbitration.
11. Changes to Terms
We may modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of the platform constitutes acceptance of the modified Terms.
